Terms of Service
Effective date: 13 October 2026
These Terms of Service (“Terms”) govern your use of the website at https://umbrellatech.com.au (the “Website”) and the online services provided by Umbrella Technologies PTY LTD (ABN 15 701 061 243), trading as Umbrella Technologies (“Umbrella”, “we”, “us”), including SiteBeacon and our Google connection service, Umbrella Connect (together, the “Services”).
By accessing the Website or using the Services you agree to these Terms. If you are accepting on behalf of a business, you confirm you are authorised to bind that business, and “you” means that business.
1. Other agreements
Some Services are provided under a separate written agreement, proposal or order with you (an “Agreement”). If an Agreement conflicts with these Terms, the Agreement prevails for the Services it covers. Our Privacy Policy explains how we handle personal information and forms part of these Terms.
2. Accounts
- You must give accurate information when you register and keep it up to date.
- You are responsible for all activity under your account and for keeping your sign-in details secure. Tell us promptly at privacy@umbrellatech.com.au if you suspect unauthorised use.
- You must have the authority to give us access to any account, website or data you connect to the Services.
3. Acceptable use
You must not, and must not allow anyone else to:
- use the Website or Services unlawfully, or to infringe anyone’s rights;
- connect an account, website or data that you do not own or are not authorised to share with us;
- attempt to gain unauthorised access to our systems, other users’ data or other tenants’ data, or probe, scan or test their security without our written permission;
- interfere with or disrupt the Services, or send malware or excessive automated requests;
- scrape, resell, sublicense or provide the Services to third parties except as an Agreement allows;
- use the Services in a way that breaches Google’s or any other third party’s terms or policies, including spam, deceptive or prohibited content or practices in advertising or search; or
- reverse engineer or copy the Services, except as the law allows.
4. Your data and your Google assets
You own your data. As between you and us, you keep all rights in the data and content you provide or connect to the Services (“Your Data”), including data we receive from your connected accounts. You give us a limited licence to access, store, process and display Your Data, including through our sub-processors and AI providers, only as needed to provide the Services to you, as described in our Privacy Policy.
You own your Google assets. Your Google Ads accounts, Google Analytics (GA4) properties, Google Search Console properties and Google Business Profile listings belong to you (or to the business you represent) and not to Umbrella. We will not create or hold these assets in Umbrella’s own accounts on your behalf. We access them only with the access you grant, and removing our access does not affect your ownership of them.
We will use information received from Google APIs in line with the Google API Services User Data Policy, including the Limited Use requirements, as described in our Privacy Policy.
5. Connecting third-party accounts, and revoking access
- When you connect a third-party account (such as a Google account), you authorise us to access it only for the permissions you approve and only to provide the Services.
- Your use of third-party services remains subject to those providers’ own terms, such as Google’s terms of service, which you are responsible for complying with.
- You can revoke our access at any time at myaccount.google.com/permissions, by removing our manager link from your Google Ads account, by removing our access from your Business Profile, or by contacting us. Revoking access may stop some or all of the Services working.
- We rely on third-party services and APIs (such as Google’s). We are not responsible for changes to, or outages of, those services that affect the Services.
6. Our intellectual property
We and our licensors own the Website and Services, including software, designs, methods and documentation, and all intellectual property in them. Subject to these Terms and any Agreement, we grant you a non-exclusive, non-transferable, revocable right to use the Services for your own business purposes. Reports and outputs generated for you are yours to use for your business, but this does not give you rights in our underlying software, tools or methods.
7. Fees and payment
Fees, billing cycles, payment terms and any expenses (such as third-party advertising spend or data costs) are set out in a separate Agreement, proposal or order. Unless stated otherwise, amounts are in Australian dollars and exclude GST. Advertising spend charged by Google or other platforms is paid by you directly to them, unless an Agreement states otherwise.
8. Service content, AI and no guarantee of results
The Services provide SEO, analytics and advertising insights, and some features use artificial intelligence. Outputs may contain errors or become out of date, and you should review them before relying on them. Search engine rankings, traffic, leads and advertising results depend on factors outside our control, and we do not guarantee any particular result.
9. Australian Consumer Law
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)). Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified (“Non-excludable Rights”).
Where the Non-excludable Rights allow us to limit our liability for a breach, our liability is limited, at our option, to resupplying the services or paying the cost of having them resupplied.
10. Limitation of liability
To the maximum extent permitted by law, and subject to section 9:
- all warranties, terms and conditions not expressly set out in these Terms or an Agreement are excluded;
- we are not liable for any indirect or consequential loss, or for loss of profit, revenue, business, goodwill or data, arising from your use of, or inability to use, the Website or Services;
- we are not liable for loss caused by third-party services, platforms or APIs, by your instructions, or by your failure to review outputs; and
- our total liability for all claims relating to the Services is limited to the amount you paid us for the Services in the 12 months before the claim arose, or, where no fees apply, to resupplying the Services.
Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud.
11. Suspension, termination and offboarding
- You can stop using the Services at any time, subject to any minimum term or notice period in an Agreement.
- We may suspend or end your access if you breach these Terms, if we reasonably believe your use poses a security or legal risk, or if we stop offering a Service, in which case we will give reasonable notice where we can.
- On offboarding, we stop accessing your connected accounts and delete your stored tokens and Google user data as described in our Privacy Policy. You should also remove our access yourself: remove our MCC link from Google Ads, remove our access from Business Profile, and revoke the app at myaccount.google.com/permissions.
- Before offboarding, you can ask us for an export of Your Data in a common format, and we will provide one where reasonably practicable. Your Google Ads, GA4, Search Console and Business Profile assets stay with you.
- Sections that by their nature should continue (including ownership, liability and governing law) survive termination.
12. Changes to the Website, Services or Terms
We may update the Website and Services from time to time. We may also change these Terms. We will post the updated Terms on this page with a new effective date and, for material changes, give you reasonable notice (for example by email or in the Services). If you continue to use the Services after the change takes effect, you accept the updated Terms. If you do not agree, stop using the Services.
13. Governing law
These Terms are governed by the laws of Western Australia, Australia. Each party submits to the non-exclusive jurisdiction of the courts of Western Australia and the Commonwealth courts sitting there.
14. General
If any part of these Terms is unenforceable, the rest continues to apply. A failure to enforce a right is not a waiver of it. You may not assign your rights under these Terms without our written consent. These Terms and any Agreement are the entire agreement between us on their subject matter.
