The service
SiteBeacon is a multi-client service that helps a business improve how its website appears in search and in AI answers. It can serve generated and managed pages on your behalf, report on search performance, suggest keywords, and draft content. We may improve or change features over time.
Accounts and credentials
You must give us accurate details and keep them current. You are responsible for the people you allow to use your account and for keeping their sign-in details secret. Tell us at support@umbrellatech.com.au straight away if you think an account has been compromised. We may rely on actions taken with your credentials.
Acceptable use
You must not:
- use SiteBeacon for anything unlawful, misleading or harmful
- publish content that infringes someone else's rights or that you are not entitled to publish
- probe, scan or attack SiteBeacon, or try to get around its security or limits
- try to access another client's data
- use SiteBeacon to create spam, doorway pages or content designed to deceive search engines
- resell or sublicense SiteBeacon without our written agreement
We may refuse, remove or suspend content or use that breaks these rules.
Your content and your website
You keep your website and everything you give us (your content). You give us the permission we need to host, process and display your content to provide SiteBeacon, including sending it to the providers listed on our sub-processors page. You promise you have the right to give us that content. Your site is yours. SiteBeacon runs in front of it, and the SiteBeacon worker can be removed so that your site is served as it was before.
AI-generated content and your review
SiteBeacon can draft text using AI. AI can make mistakes. Generated text is a draft. You are responsible for reviewing it, and you must approve it before it is published to be indexed. We do not guarantee that generated content is accurate, original or suitable. We do not guarantee any ranking, traffic, citation or result in search engines or AI answers.
Fees and plans
SiteBeacon is offered on Starter, Growth and Pro plans, each with its own features and monthly limits. We invoice for plans. Payment terms are on the invoice or in your signed order. We do not collect or store payment card details. The invoice shows the currency, the amount and any GST. We may change plans or fees with notice before the next billing period.
Service levels
We provide SiteBeacon with reasonable care and skill and use best endeavours to keep it available. We do not promise a particular uptime and there is no service level agreement unless a signed agreement says so. We may carry out maintenance. SiteBeacon relies on third-party services, including Google, our hosting provider and AI providers, which can change or fail.
Suspension and termination
We may suspend SiteBeacon straight away if you do not pay, break these terms, or if we reasonably believe your use puts the service, our other clients or the law at risk. We will tell you when we do, unless the law stops us. Either of us can end the service by giving 30 days written notice, or straight away if the other materially breaches these terms and does not fix it within 14 days of notice.
Offboarding and data return
When the service ends, you can ask for an export of your data. We keep your data for 30 days after we remove you from SiteBeacon so that a mistake can be undone, then we purge it, as the SiteBeacon privacy notice explains. Google data is deleted within 30 days of the connection ending. You should take any export you need before the end of that period.
Intellectual property
We and our licensors own SiteBeacon, its software and its documentation. You get a right to use SiteBeacon during the term for your own business. You own your content. Text that SiteBeacon generates for you is yours to use as part of your content, to the extent the law allows us to give you that right. We may use anonymous, aggregated information about how SiteBeacon is used to improve it. We will not use your Google user data for that purpose.
Confidentiality
Each of us must keep the other's confidential information confidential, use it only for these terms, and protect it with reasonable care. This does not apply to information that is public, that the receiver already had or independently developed, or that the law requires to be disclosed.
Privacy and data protection
Our SiteBeacon privacy notice and Umbrella Connect privacy notice explain how we handle personal information. If you are a business customer, our Data Processing Addendum is part of these terms. If you connect a Google account, the Umbrella Connect terms of service also apply.
Warranties and disclaimers
You promise that you have authority to agree to these terms and that your use of SiteBeacon will comply with the law. Except as these terms say, and to the extent the law allows, we give no warranties, and we do not promise that SiteBeacon will be uninterrupted or error-free.
Limitation of liability
Nothing in these terms excludes, restricts or modifies any right or remedy, or any guarantee, under the Australian Consumer Law or any other law that cannot be excluded. If you are a consumer under that law, those rights stay. For a supply that is not for personal, domestic or household use, where the law allows us to limit our liability for a breach of a guarantee, our liability is limited to supplying the service again or paying the cost of having it supplied again.
Subject to that, and to the extent permitted by law:
- we are not liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or data
- our total liability for all claims relating to SiteBeacon is limited to the fees you paid us for SiteBeacon in the 12 months before the first claim
Indemnities
You will cover our reasonable losses from a third-party claim that your content, or your use of SiteBeacon in breach of these terms, infringes rights or breaks the law. We will cover your reasonable losses from a third-party claim that SiteBeacon itself, used as these terms allow, infringes that party's intellectual property rights. The party seeking cover must tell the other promptly, let it control the defence and cooperate. A party's cover is reduced to the extent its own conduct contributed to the loss.
Changes to these terms
We may update these terms. We will publish the current version on this page with its effective date and version number, and we will email account holders before a significant change takes effect. If you do not agree to a change, you can end the service under the termination section.
Governing law
These terms are governed by the laws of Western Australia. You and we submit to the non-exclusive jurisdiction of the courts of Western Australia.
